1. The Service

StockImageIQ is a web application that uses artificial intelligence to generate metadata — titles, descriptions, and keywords — for stock photographs and videos that you upload. Generated metadata can be reviewed, edited, and exported (e.g. as CSV) for submission to third-party stock platforms.

The Service is intended for professional and business use by stock contributors. It is not directed at children and may not be used by anyone under 18.

2. Accounts

You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity under your account. Sign-in is provided via email/password or Google OAuth, handled by our authentication provider (see Privacy Policy). You can reset your password at any time via the sign-in page.

3. Credits and Payment

3.1 Credits. The Service operates on prepaid credits. One image generation consumes 1 credit; one video generation consumes 3 credits. Current pricing is shown in the app before purchase and before each processing run.

3.2 Payments via Paddle.Purchases are processed by Paddle.com Market Ltd / Paddle Payments Ltd, as applicable ("Paddle"), acting as Merchant of Record. Paddle is responsible for payment processing, applicable VAT/sales tax, invoicing, and payment data. Your purchase may also be subject to Paddle's Buyer Terms, including Paddle's rules on payments, refunds, and chargebacks.

3.3 When credits are consumed. Credits are deducted only for successfully completed generations. If a generation fails, you are not charged for it; automatic retries within the same processing run are free. Re-running a generation you initiate on already-processed files (including the "regenerate" function) is a new generation and consumes credits, because each run incurs new AI processing costs. The estimated cost of a run is displayed before you start it.

3.4 Credit validity. Credits do not expire.

3.5 Credits are personal. Credits are tied to your account and are not transferable or redeemable for cash except as described in the Refund Policy or required by law.

3.6 Price changes. We may change credit prices prospectively. Changes do not affect credits you have already purchased.

3.7 Free and promotional credits. Sign-up or promotional credits may be granted once per person. We may withhold or revoke free credits where we reasonably suspect abuse (e.g. disposable email addresses, multiple accounts created by the same person or device). Free credits have no cash value and are not refundable.

3.8 Balance corrections. We may correct your credit balance in the event of demonstrable error or fraud (e.g. payment fraud, duplicate crediting, technical malfunction). Every deduction is recorded in an auditable per-file transaction ledger; corrections are made against that record, in either direction, and we will notify you of any correction.

4. EU Right of Withdrawal

If you are a consumer in the EU/EEA, you have a statutory 14-day right of withdrawal from the purchase of credits. By purchasing, you expressly request that the service (availability of credits for immediate use) begins immediately and acknowledge that you lose the right of withdrawal in respect of credits already consumed. Unused credits remain refundable within the 14-day withdrawal period as described in our Refund Policy.

5. Your Content

5.1 Ownership.You retain all rights to the photographs and videos you upload ("Your Content") and to the metadata generated for you.

5.2 Licence to us.You grant us a limited, non-exclusive, worldwide licence to host, store, reproduce, and transmit Your Content solely as needed to operate the Service — including transmitting it to the third-party AI providers listed in our Privacy Policy for the sole purpose of generating metadata for you. We do not use Your Content to train, fine-tune, or improve any AI models, and we do not sell, license, or otherwise make Your Content available to any third party for any purpose other than operating the Service. Under our AI providers' API terms, content submitted through their APIs is not used to train their models.

5.3 Storage and retention. We store Your Content only as necessary to provide the Service, including processing, preview, export, troubleshooting, and user-requested account functionality. Retention periods and deletion options are described in our Privacy Policy.

5.4 Your responsibilities. You represent that you have all rights necessary to upload Your Content and to have it processed, including — where applicable — model releases, property releases, and any consents required for images of identifiable people. We do not verify releases; compliance with stock-platform requirements remains your responsibility.

6. AI-Generated Output

Metadata is generated by AI and may be inaccurate, incomplete, or unsuitable for a given platform. You are responsible for reviewing and, where needed, editing metadata before submitting it anywhere. We do not warrant that generated metadata will be accepted by any stock platform, nor do we guarantee sales, rankings, or search performance. To the maximum extent permitted by law, output is provided "as is".

The Service does not verify whether Your Content is suitable for commercial or editorial submission, whether releases are valid, or whether metadata complies with the rules of any particular stock platform. You remain solely responsible for reviewing all metadata and submission requirements before use.

Generated metadata may be identified in the Service as AI-generated or AI-assisted. You are responsible for any disclosure, labelling, or review obligations that may apply when you publish or submit the metadata to third-party platforms.

7. Acceptable Use

You must not:

• upload content that is unlawful, infringes third-party rights, or depicts child sexual abuse (which we will report to authorities);
• use the Service to violate any law or third-party terms;
• attempt to disrupt, overload, reverse engineer, or gain unauthorised access to the Service;
• resell or provide the Service to third parties as your own without our written consent;
• create multiple accounts, use bots, disposable identities, automated sign-ups, or other methods to obtain free or promotional credits more than once or to bypass account, rate, payment, or usage limits;
• misuse the AI generation pipeline, including attempts to extract provider prompts, generate content unrelated to stock-media metadata, or systematically probe the system with content designed to produce harmful output.

We may suspend or terminate accounts that violate this section.

8. Availability and Changes

We aim for high availability but do not guarantee uninterrupted operation. We may perform maintenance, and we may add, change, or remove features. If we discontinue the Service entirely, we will give reasonable notice and refund unused credits.

9. Termination

You may stop using the Service and delete your account at any time. If you request deletion of your account, any unused paid credits will be handled in accordance with our Refund Policy and applicable law. Free or promotional credits are not refundable. Account deletion may be irreversible and may prevent further use of remaining credits. We may terminate or suspend your account for material breach of these Terms. On termination for your breach, unconsumed credits may be forfeited to the extent permitted by law; on termination by us for convenience or discontinuation, unused credits will be refunded.

10. Liability

Nothing in these Terms limits liability that cannot be limited by law (including for intent or gross negligence, or consumers' statutory rights). Subject to that, we are not liable for indirect or consequential damages, loss of profits, or loss of data caused by circumstances outside our reasonable control, and our aggregate liability arising from the Service is limited to the amounts you paid for the Service in the 12 months preceding the event giving rise to the claim.

11. Indemnity

You will indemnify us against third-party claims arising from Your Content or your breach of Section 5.4 or 7, to the extent permitted by applicable consumer law.

12. Data Protection

Our processing of personal data is described in our Privacy Policy, which forms part of these Terms. Please read it carefully before using the Service.

13. Governing Law and Disputes

These Terms are governed by the law of the Republic of Slovenia. If you are a consumer, you also benefit from the mandatory protections of the law of your country of residence and may bring proceedings in your local courts. If you are a consumer and a dispute cannot be resolved directly with us, you may have access to out-of-court consumer dispute resolution bodies under applicable law. In Slovenia, participation in consumer ADR is generally voluntary unless mandatory rules apply.

14. Changes to These Terms

We may update these Terms; material changes will be announced in the app or by email at least 14 days in advance. Continued use after the effective date constitutes acceptance.
